Shortage of talent and the increasing salary bands is forcing companies to look at alternates to India. Several Projects that were originally intended to start in India are being relocated to Other Countries like China, Philippines etc. There have been instances wherein existing projects in India have been relocated to other countries. SAP implementation Projects have also been affected by this shortage.   • SAP Education Partner shall be responsible for conducting a 2 day Orientation Program by an expert to educate students and staff on the usage of Learning Hub and its Salient Features
  • SAP Education Partner will be the first point of contact for trouble shooting activities or any other concern.
  • SAP Education Partner will help college to seek all necessary approvals from SAP on branding and marketing activities.
  • Help provide a Course road map to student on specific courses.

Responsibilities of SAP

SAP Education University Partner (U-academy) Agreement


This Agreement is effective from amongst:

SAP India Private Limited (“SAP”), having its registered office at Wing – A, 2 nd Floor, Tower – B Salarpuria Softzone Sarjapur Outer Ring Road Bellandur Post. Bangalore – 560 103on the First Part;

AND

BSENS Group hereinafter referred to as “SAP Education PARTNER”) having its office at on the Other Part;

AND

XXXXXXXX a leading educational society, having its office at (hereinafter referred to as COLLEGE) on the Other Part;

SAP, SAP Education Partner and College are hereinafter collectively referred to as the "Parties" and individually referred to as a "Party”.

"WHEREAS

  1. SAP is a global leader of enterprise software and inter-alia, engaged in the business of marketing, licensing of enterprise software products, SAP Education Business and also providing Maintenance and Consulting services thereon and SAP has developed a substantial number of customer relationships in the various business practices.

  2. SAP EDUCATION PARTNER is an authorized education partner of SAP in India, providing, SAP Education.

  3. WHEREAS SAP, SAP EDUCATION PARTNER and COLLEGE are willing to jointly establish a business relationship, where parties shall work together in number of ways for setting-up of an e learning center at College’s campus in XXXXX India (“COLLEGE Campus” or “e-Learning Centre”) in order to provide SAP Education Training to the students of COLLEGE.

THIS AGREEMENT SPELLS OUT THE BUSINESS ARRANGMENT BETWEEN THE PARTIES FOR UTILIZATION OF CORE COMPETENCIES, EXPERTISE, INFRASTRUCTURE, KNOWLEDGE, TECHNICAL KNOW-HOW, BUSINESS INFOMRATION FOR BENEFITS OF SAP e-learning center at COLLEGE.

  1. Goals of this AGREEMENT
    The objective of this AGREEMENT is to establish e-Learning center and provide SAP e-Academy Course (as provided in Appendix 1 to this AGREEMENT) to the students of College at the College campus by SAP Education Partner.

  2. Proposed Transaction
    The proposed transaction contemplates that:
    To setting-up of an e-Learning center at College campus. Each Party shall contribute their respective resources as per the responsibilities contemplated herein for establishment of this e- Learning center at College Campus. Parties shall co-operate and contribute their complementary skill set for setting-up of aforesaid center. The Parties shall have clearly defined roles and responsibilities for the setting-up and functioning of the said SAP e-learning center at College Campus.
    SAP Training Course as contemplated herein is restricted only to the full time registered students of the College and as such not open for general public at large.

  3. The parties desire to cooperate with each other and the following underlines the broad understanding between the parties:
    1. The Responsibilities of SAP, SAP Education Partner and College are as follows:
      1. Responsibilities of SAP
        1. SAP will make the available of SAP Learning Management Systems (LMS), which can be accessed by students. (Except for scheduled maintenance periods) for the registered students through SAP’s service provider. Through this LMS system, the student will be able to access the relevant SAP e- Academy Courses. SAP will provide a LMS Login ID/Password within 4 working days from the date of approval for the student. Access to online SAP e-Academy Course materials/ products is only available on-line via an Internet connection at College. This access to SAP e-Academy Course materials/ products shall be for a period of XXXX from the date of original access is established.
        2. SAP through its authorized service provider will provide access to a SAP e-Academy Course training system during the local (India) business hours (except for scheduled maintenance periods). Through this system the students will be able to practice exercises and demos. SAP will provide a SAP Server ID and Password within 4 working days from the date of approval to access the training systems for the students
        3. SAP will also provide the help desk services through its centrally hosted Help Desk, which will be made available to the SAP Education Partner.
        4. SAP shall provide to SAP EDUCATION PARTNER, one (1) hard copy of Training Materials for the SAP e-Academy Courses listed in Appendix 1 to the Agreement, when required and when there is an update.

      2. Responsibilities of SAP Education Partner
        SAP Education Partner shall be responsible for following:
        1. SAP Education Partner shall take overall responsibility to set-up SAP e-Learning Center with the assistance of COLLEGE and SAP team at COLLEGE Campus within a mutually agreed time line.
          The e-learning centre should be setup as per information contained in Appendix 2.
        2. SAP Education Partner shall provide necessary Pre-sales, Marketing, Technical and management support to e-Learning Center at COLLEGE Campus.
        3. SAP Education Partner shall deploy one Competent Management person to handle the servers, set-up ids & manage the said e-Learning center.
        4. SAP Education Partner shall provide day to day support and guidance to the students of College in relation to SAP Training Course.

      3. SAP Education Partner shall engage in consulling the registered students for better SAP e-Academy Training Course selection, preparation for the said course, enrolling of students, interacting with SAP and College management team. SAP Education Partner shall also provide day to day report to SAP and College for smooth functioning of the said e-Learning centre at College Campus.

        SAP Education Partner will depute system administrator from their side on regular basis in the College.

      4. Responsibilities of COLLEGE
        College shall be responsible for following:
        1. College shall market the SAP e-Academy Course to its students at the College.
        2. College shall provide Administrator and technical staff for day to day administration, Hardware and other infrastructure maintenance.
        3. College shall actively participate for pre-sales support in College Campus with the prospective students.
        4. College shall provide any other support/ services as required from time to time for achieving any specific objective of proposed e-Learning Center.
        5. The SAP e-Academy Course should be offered only to full time registered students of College.
        6. College shall provide Electricity, UPS, Inverter and/or other utilities to the center at its own cost and expenses.
        7. The College shall take responsibility to collect payments from the students.
        8. College will ensure that proper systems, hardware, network and Internet connectivity according to the requirement specified by SAP is made available.
        9. College shall place a confirmed order of SAP e-Academy Course on SAP as per Appendix 3 to this Agreement.

    2. Joint Responsibilities of the Parties:
      The Parties shall have following joint responsibilities:
      1. Shall participate in Pre-sales, Seminars, Info session at College Campus.
      2. Shall provide necessary help and guidance for SAP Training Course certification examination.
      3. Shall introduce the presence of e-Learning Center to the IT Industry leaders for better placement opportunities.

  4. Unless otherwise agreed to between the Parties, each Party will be responsible for its own costs and expenses (which may be incurred in relation to their respective responsibilities as set out in this Agreement).

  5. This Agreement is non-exclusive and notwithstanding the provisions in this Agreement, SAP retain absolute right to engage / participate in similar activities and/or invest in similar ventures with others as contemplated herein.

  6. SAP owns all intellectual property rights on its all training program materials on SAP Training Course materials including but not limited to training method, concept, technique, know-how, training material/ tools, techniques, methodologies etc. and an enhancement thereof (herein after referred as “SAP Proprietary Information”).

    Under this Agreement, College and SAP Education Partner shall receive, handle and use SAP Proprietary Information in a manner as specified by SAP from time to time. In no event, College and SAP Education Partner shall copy, translate, disassemble, or decompile, nor create or attempt to create any part of the SAP Proprietary Information. Except for the rights set forth in this Agreement, College and SAP Education Partner are not permitted to make derivative works of SAP Proprietary Information and ownership of any unauthorized derivative works shall vest in SAP. Notwithstanding anything contrary herein, from time to time SAP shall be permitted to audit / verify the usage of the SAP Proprietary Information by College and SAP Education Partner as contemplated herein. All expenses incurred in connection with the audit/verification shall be borne by SAP.

    The Parties agree that nothing herein shall constitute a transfer of any intellectual property from one Party to the other. Each Party shall retain the full rights to their own respective intellectual property at all times. SAP, College and SAP Education Partner agree to take all reasonable steps and the same protective precautions to protect the Proprietary Information from disclosure to third parties as with its own proprietary and confidential information. College and SAP Education Partner shall not, without SAP's prior written consent, disclose any of SAP Proprietary Information to any person, except to its bona fide individuals whose access is necessary to enable College or SAP Education Partner to exercise their rights hereunder.

  7. This Agreement will be in force from XXXX XXX, 2010 till XXXX XXX, 2011 unless terminated as per terms of this AGREEMENT.
    SAP shall conduct performance review session with College and SAP Education Partner at the end of every six (6) months and evaluate College’s and SAP Education Partner’s performance of its obligations under this Agreement and determine if there is any need for change. The performance review will include but not limited to the following Key Performance Indicators(KPIs):
    1. Volume (pro rated basis)
    2. the evaluation of the operation practices of College and SAP Education Partner in the conduct of the SAP Training Course at e-Learning Centre
    3. the number and nature of complaints lodged on the courses by students. Any need for change subsequent to the review at the end of every six (6) months shall be finalized and agreed within 15 days of such findings.

    Any subsequent renewal or extension of this Agreement shall be on terms mutually agreed in writing by the parties. Any renewal or extension of this Agreement has to be finalized and agreed upon at least sixty (60) days prior to the expiry of the Term.

    SAP may terminate this Agreement at any time upon giving written notice (a) in the event that either College or SAP Education Partner fails to discharge any obligations or remedy any default under this Agreement for a period of thirty (30) days after SAP has given College / SAP Education Partner written notice specifying such failure or default, or (b) in the event that College or SAP Education Partner makes an assignment for the benefit of creditors, or commences or has commenced against it any proceeding in bankruptcy, insolvency, or reorganization pursuant to bankruptcy laws or laws of debtor’s moratorium.

    Notwithstanding anything contrary herein, SAP may terminate this Agreement by giving thirty (30) days written notice.

    Upon any termination hereunder, College and SAP Education Partner shall immediately cease Use of all SAP Proprietary Information and within 7 (seven) days after any termination. College and SAP Education Partner shall deliver to SAP or destroy all copies of the SAP Proprietary Information in every form. College and SAP Education Partner agrees to certify in writing to SAP that it has performed the foregoing. Incase students have already enrolled for any courses, termination of the AGREEMENT to be effective post the last day of the course completion for which students have already enrolled.


  8. Unless otherwise required by law, neither Parties will disclose the existence of this Agreement or the subject matter thereof, or issue any press release or public announcement with respect thereto, without the express prior written consent obtained from each Party.

  9. Except with the prior written consent of the Parties or as may be required by law or as otherwise provided herein, each party will use its best efforts to cause its directors, officers, employees, agents, counsel, accountants, financial consultants, subcontractors, franchisees and other representatives to (a) treat as confidential any and all information obtained from the other party hereto or their representatives or the terms or conditions of the transaction contemplated herein or the fact that such transaction is being contemplated, and (b) not disclose or use any such information(unless such information is or becomes ascertainable from public sources or public disclosure of such information is required by law); provided, however, that nothing contained herein will prohibit any such persons from disclosing any such information to their directors, officers, employees, agents, representatives, counsel, accountants or financial advisors for the purpose of facilitating the consummation of the transaction contemplated hereby, so long as such other persons are advised of the confidential nature of such information.

    The confidential information shall not include information that:
    1. Is as of the time of its disclosure part of the public domain;
    2. Is subsequently learned from a third party without breach of aforesaid confidentiality obligation;
    3. Is independently developed by receiving Party;
    4. Became known to receiving Party from a source other than disclosing Party other than by the breach of an obligation of confidentiality owed to disclosing Party; or
    5. Is required to be disclosed pursuant to court order or government authority, whereupon the receiving Party shall provide prompt and sufficient prior written notice to the Disclosing Party prior to such disclosure to enable the disclosing party to seek equitable remedy available under law.

  10. Notices. All notices or reports which are required or may be given pursuant to this Agreement shall be in writing and shall be deemed duly given when delivered to the respective executive offices of SAP, College and SAP Education Partner at the addresses first set forth above.

  11. This Agreement does not create any partnership, agency, joint venture or employer employee relationship between the parties.

  12. If any provision or part of any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, such holding shall not affect the enforceability of any other provisions or parts thereof, and all other provisions and parts thereof shall continue in full force and effect. All Parties acknowledge that the other Party’s rights under this Agreement are cumulative and not exclusive of one another and that either Party’s undertakings and agreements contained herein, including, without limitation, the several covenants contained herein, are each severable covenants independent of one another or any other provisions or covenants of this Agreement.

  13. Limitation of Liability: Notwithstanding anything to the contrary in this Agreement, except for damages resulting from unauthorized use or disclosure of the proprietary information/ confidential information, under no circumstances shall SAP, its licensors or College or SAP Education Partner be liable to each other, or any other person or entity, for an Agreement of damages in excess of the Agreement of fees paid to SAP under this Agreement in preceding six months or be liable in any Agreement for special, incidental, consequential, or indirect damages, loss of goodwill or business profits, work stoppage, data loss, computer failure or malfunction, or exemplary or punitive damages.

  14. Express Disclaimer. SAP and its Licensors disclaim all other warranties express or implied, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose except to the extent that any warranties implied by law cannot be validly waived.

  15. Neither this Agreement nor any of the rights, interests or obligations there under will be assigned by either party thereto, in whole or in part (whether by operation of law or otherwise), without the prior written mutual consent of the Parties, and any attempt to make any such assignment without such consent will be null and void.

  16. Except as otherwise provided herein, no addition, amendment to or modification of the Agreement shall be effective unless it is in agreed in writing by the Parties.

  17. Neither Party will be liable for performance delays or for non-performance due to causes beyond its reasonable control including but not limited to natural disasters or governmental acts.

  18. This Agreement shall be governed and construed in accordance with the laws of India and courts of India shall have exclusive jurisdiction.

  19. Dispute Resolution
    All disputes arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall, unless amicably settled between the Parties, be finally settled by arbitration in accordance with the Arbitration and Conciliation Act 1996, and any modifications thereto and re-enactments thereof from time to time, by three arbitrators. Each Party shall appoint one arbitrator and the third arbitrator shall be appointed by the selected two arbitrators. The seat of arbitration shall be Mumbai. The language to be used in the arbitration proceedings shall be English.
    Each Party submits to the jurisdiction of courts of Bangalore for the purposes only of compelling compliance with the above arbitration provisions and for enforcement of any arbitration award made in accordance with the above provisions.

Note:

  1. The above Course fees are exclusive of all taxes and duties, which shall be charged as applicable.

Fees and other charges described in this Appendix or in SAP's most recent List of Prices and Conditions, do not include state, or local sales, goods and service, use, property, excise, service, stamp duty or other taxes now or hereafter levied (“Taxes”), all of which shall be for SAP EDUCATION PARTNER account. If SAP is required to pay Taxes (excepting taxes on SAP’s income), SAP shall invoice SAP EDUCATION PARTNER for such Taxes, who shall in turn collect the same from the students. SAP EDUCATION PARTNER hereby agrees to indemnify SAP for and hold it harmless from any Taxes and related costs, interest and penalties paid or payable by SAP under this Agreement.
  4. Each party will be responsible for its own costs and expenses. Any other related services required from SAP not listed above will be chargeable at SAP’s prevailing rates. Any services needed by SAP EDUCATION PARTNER shall be mutually agreed upon.


APPENDIX 2


College shall be responsible to the following infrastructure requirements:


  1. Hardware requirements:
    Processor: Minimum 500 MHz processor, RAM: 512 MB Sound: 16-bit sound card, with speakers or a headset (optimal), 8MB Video Card with 16 million colours; Screen resolution: 1024 by 768 (minimum)
  2. Software requirements:

      Internet Explorer (IE) version 6.0 SP1 and up, with JavaScript support in the browser configuration

    College to Install MPLS VPN under approval from SAP

    SAP requires at least one Public IP from current ISP; the same will be updated in SAP’s firewall and access will be provided to SAP server

The total amount of aforesaid SAP e-Academy Course: INR XXXX/- (Rupees XXXX Only) payable by the College to SAP Education as per the payment terms mentioned below.


Taxes as applicable shall be charged extra.


Payment Terms

College will remit 100% of the payment in advance to SAP for the committed number of students as per Appendix 3.


No registrations will be accepted by SAP till all payment has been received in full.


In all other cases 100% payment of course fees is required in advance.
